1 Parties and agreement

This agreement is between ReelMart, GSTIN 37CSUPP3613C1ZJ, at Door No 3-96, Murthimma Nilayam, Ramalayam Street, Bapatla, Andhra Pradesh 522102, India (“ReelMart”), and the seller identified in the accepted order form (“Seller”). Each is a party and together they are the parties. A person accepting for an organisation confirms authority to bind it.

“Platform” means ReelMart's enabled websites, apps, hosted storefronts and seller tools. “Buyer” means a person ordering goods from Seller. “Order Form” means the completed seller-specific commercial details or an equivalent checkout record affirmatively accepted by Seller. “Fees” means agreed subscription, shipping and optional service charges, excluding the price of Seller's goods.

The Pricing Schedule, Shipping Policy, Refund Policy, Seller Standards, Data Processing Terms and Grievance Policy, in the versions supplied at acceptance, form part of this agreement. The Privacy Policy explains personal-data practices; it is not blanket consent to every use of data.

Mandatory law prevails. A signed variation prevails over the Order Form, which prevails over this agreement, which prevails over a schedule, unless the variation expressly preserves another provision. The Data Processing Terms control conflicting provisions about processing on Seller's instructions. No seller-specific agreement reduces a Buyer's mandatory rights. Public policy changes bind Seller only through section 13.

2 Platform service and relationship

ReelMart grants Seller a limited, non-exclusive, non-transferable right during the agreed term to use the enabled Platform features for Seller's lawful business. Features depend on the accepted plan, integrations, serviceability and account status. ReelMart will provide the service with reasonable care and skill, maintain reasonable security safeguards and provide support through the published channels. No sales volume, ranking, revenue, uninterrupted availability or third-party approval is guaranteed. A specific service-level guarantee applies only if agreed in writing.

Seller independently sells the goods, sets lawful prices, owns stock or has authority to sell it, fulfils orders and supplies product remedies. The product sale is between Seller and Buyer. ReelMart supplies its own contracted services and remains responsible for its own conduct and non-excludable duties. This agreement creates no employment, franchise, partnership or general agency. Any authority to operate payment or shipping integrations is limited to the functions expressly authorised here.

ReelMart may maintain, repair and improve the Platform. It will give reasonable notice of planned material disruption where practicable. Material withdrawal of paid features is governed by section 13. Seller must not promise unreleased features to Buyers.

3 Onboarding and account security

Seller must be legally capable of contracting and provide accurate business, proprietor/representative, PAN, GST, contact, bank and pickup details and necessary licences. Current onboarding requires GST registration unless ReelMart confirms a permitted exception in writing. ReelMart's onboarding policy is separate from the legal registration thresholds applicable to a business.

Seller must promptly report material changes and cooperate with proportionate verification. Approval or a verification badge is not certification of every product. Seller controls staff permissions, protects credentials and OTPs, and reports suspected compromise immediately. Seller is responsible for authorised staff activity; this does not excuse ReelMart's own security failures. Accounts may not be sold or transferred without written agreement.

4 Goods listings and buyer service

Seller must comply with Seller Standards and applicable product, consumer, advertising, tax and intellectual-property laws. Seller must accurately state product characteristics, stock, price, origin, mandatory manufacturer/importer and label information, dispatch estimates, warranties, seller contacts and applicable return terms before purchase. Seller must verify AI-assisted text, images, tax suggestions and invoices before using them.

Seller must honour accepted orders, provide compliant invoices, pack safely, cooperate with delivery and promptly handle complaints, recalls, returns, refunds and chargebacks. Seller must not substitute goods without Buyer agreement, fabricate reviews, misstate discounts, demand undisclosed charges or use blanket “no refund” rules to defeat mandatory remedies. Seller must provide supporting records reasonably needed to investigate a complaint.

Seller's own store policies can supplement the public policies only where clearly disclosed and lawful. An order retains the policy terms presented at purchase, subject to mandatory law and any later improvement expressly offered to that Buyer.

5 Payments and taxes

In seller-direct mode, Seller contracts with the payment provider and authorises the enabled integration to create payment orders, retrieve relevant status and process authorised refunds in Seller's account. Buyer funds settle under Seller's provider agreement, subject to provider charges, reserves, deductions and law. ReelMart does not promise a settlement date or that gross sale value equals the bank credit. Seller must maintain an operational payment account and refund capacity. Revoking access may disable online checkout and automated refunds but does not cancel existing obligations.

In legacy platform-collection mode, collection, permitted deductions, settlement timing, refund funding and reconciliation must be set out in an accepted Payment and Settlement Annex supplied to Seller before new collection is enabled. This agreement alone does not authorise an unspecified settlement hold, transfer of a seller's payment relationship or use of Buyer money for ReelMart's general purposes. Existing collections and refunds must be reconciled under the terms and law applicable to those transactions.

Cash on delivery is available only where enabled. The Order Form or shipping booking must identify the collecting/remitting party, COD fees, remittance cycle and applicable adjustments. COD proceeds are not automatically Seller's subscription or shipping balance.

ReelMart separately collects Fees for its own services. Seller remains responsible for goods invoices, classifications, rates, returns and tax filings; ReelMart remains responsible for its own service invoices and taxes. Either party may make legally required deductions/remittances, providing the required records or certificates. Neither party may deduct an arbitrary amount from the other's funds. Tax tools are administrative assistance, not a tax ruling.

6 Fees billing and price changes

Seller will pay the Fees in its accepted Order Form and the Pricing Schedule. The documented starting model has zero ReelMart commission on goods sales; gateway, shipping and optional-service charges are separate. Existing express lifetime/free/zero-commission promises must be honoured according to their terms and applicable law. A new sales commission for such a seller requires a separately negotiated and affirmatively accepted amendment, not merely a general pricing notice.

ReelMart may introduce new plans, change subscription prices, revise usage limits or price optional services prospectively under section 13 and the Pricing Schedule. Changes cannot reprice completed transactions or a paid subscription period. No fee applies solely because an administrator changed a database value. Automatic collection requires an appropriate payment mandate and any fresh approval required by the provider or law.

Seller may query an invoice within ten business days of receipt; later genuine errors or legal claims remain reviewable. Parties will exchange reasonable evidence and seek resolution promptly. Undisputed amounts remain payable. ReelMart will not collect a genuinely disputed adjustment pending review, but may restrict new chargeable services if adequate funding is unavailable. Credits and refunds follow the Refund Policy.

7 Shipping

Seller may book available shipping through ReelMart or use an approved seller-managed fulfilment method. Each ReelMart booking is subject to the displayed quote and Shipping Policy. Seller warrants accurate packed weight, dimensions, contents, value and addresses and compliance with carrier restrictions. Multi-parcel orders may incur a separate charge for each parcel.

ReelMart is responsible for its contracted booking/support service. Carrier terms disclosed before booking govern carrier-specific transport limits and claims to the extent lawful. Seller remains responsible to Buyer for goods remedies; Seller must not wait indefinitely for carrier reimbursement before providing a refund owed to Buyer. Shipping adjustments require the basis, amount and reasonable evidence. ReelMart has no unrestricted authority to seize Seller's goods or unrelated proceeds.

8 Content intellectual property and confidentiality

Seller retains its rights in store branding, listings and uploaded content and grants ReelMart a non-exclusive licence to host, reproduce, format and display that content to operate and promote Seller's store within the Platform during the relationship. ReelMart may retain necessary archival/legal records after termination, but must stop new promotional use. Separate permission is required to present Seller as an endorsement or case study outside ordinary store promotion.

ReelMart and its licensors retain rights in Platform software, branding and documentation. Seller may not copy proprietary code, remove proprietary notices, unlawfully reverse-engineer the service or use it to compromise another account. No licence conveys ownership of another party's trademarks.

Each party will protect the other's non-public commercial, technical and customer information using reasonable care and use it only for this agreement. Access is limited to persons with a need to know and suitable confidentiality obligations. Information already public lawfully, independently developed or lawfully received from another source is excluded. Legally compelled disclosure is permitted; give notice where lawful. These obligations survive for three years, and for trade secrets while protected and personal data while retained.

9 Buyer data and communications

The Data Processing Terms govern processing on Seller's instructions. Seller may use Buyer information only for lawful order, support, accounting and separately authorised purposes. A purchase, export capability or phone number is not blanket permission for promotional broadcasts. Seller must not sell customer lists, expose other Buyers' details, upload customer records into AI prompts or contact Buyers for unrelated purposes without an appropriate lawful basis and required consent.

ReelMart may process information for its own account security, billing, statutory compliance and Platform operations as explained in the Privacy Policy. Neither party acquires unrestricted ownership of personal data. Each must cooperate with requests, incidents and lawful regulatory investigations.

10 Domains and third parties

Custom-domain eligibility follows the accepted plan. A seller-owned domain remains Seller's property. A domain procured for Seller must identify Seller as registrant, subject to registry rules. Registration, renewal, expiry, redemption and transfer fees must be disclosed; inclusion in a plan must be expressly recorded. ReelMart will reasonably assist a lawful transfer and will not withhold an independently owned domain to force continued subscription.

Plan or domain changes may require DNS updates and payment-provider reapproval, interrupting checkout. ReelMart must explain known material effects before the change. Provider timelines are estimates. Seller is responsible for ownership verification and timely renewal where allocated to Seller. Third-party terms must be made available before use; they cannot remove ReelMart's own duties.

11 Term suspension and exit

The agreement continues while Seller has an active account or outstanding obligations. Paid subscriptions renew only on the agreed terms and authorisation. Seller may cancel renewal at any time before the next renewal through Billing or support. Cancellation normally takes effect at the end of the paid period. Once trial or paid access expires, the storefront may stop serving publicly or accepting orders; custom-domain connection may stop. Existing orders, returns and complaints must still be completed.

ReelMart may restrict the affected function immediately for fraud, illegal goods, serious security risk, a legal direction or a material risk to Buyers. It will explain the reason and review route promptly unless prohibited or doing so would create a security risk. For a remediable ordinary breach, give written notice and ten business days to cure before termination. Restrictions should be proportionate and reviewed when their cause is resolved.

Either party may terminate for an uncured material breach. ReelMart may otherwise end the service on thirty days' notice, refunding prepaid unused subscription time if it ends access early without Seller breach. Seller may end affected services under section 13 if it rejects a material adverse change.

On closure, reconcile Fees, refundable balances, refunds and orders. Seller may request an export of its available catalogue, order and customer records within thirty days; ReelMart will provide reasonable assistance, subject to identity checks, lawful retention and others' privacy. If dashboard access is restricted, provide a support route unless prohibited by law. Retention and deletion follow the Privacy Policy and Data Processing Terms. Payment, confidentiality, accrued claims, dispute and necessary data obligations survive.

12 Liability and claims

Each party is responsible for loss caused by its breach, negligence or wrongful acts to the extent provided by law. Neither is liable to the other for indirect or consequential loss, or speculative lost profits, except where exclusion is prohibited. Subject to the exclusions below, each party's aggregate liability under this agreement is capped at the greater of ₹10,000 and the Fees paid or payable by Seller to ReelMart during the twelve months before the event giving rise to the claim. Goods proceeds held for another person are not Fees.

The cap and exclusions do not limit fraud, wilful misconduct, death or personal injury caused by negligence, liability that cannot lawfully be limited, payment of properly due Fees, return of money held for another, accepted refunds, or the indemnities below. They do not cap a Buyer's statutory remedies. Confidentiality and data claims remain subject to the cap only to the extent legally permissible; regulatory powers are unaffected.

Seller will indemnify ReelMart against third-party claims to the extent caused by Seller's unlawful/defective goods, infringement in Seller-provided content, unlawful Buyer-data use or Seller's material breach. ReelMart will indemnify Seller against third-party claims that the unmodified Platform software supplied by ReelMart infringes intellectual-property rights in India, excluding Seller content, unauthorised modifications and combinations causing the claim. ReelMart may obtain rights, modify/replace the affected service without material loss of functionality, or terminate it and refund unused prepaid fees.

An indemnified party must promptly notify the other, allow reasonable control of defence and cooperate at the indemnifying party's expense. No settlement may admit fault or impose a non-monetary obligation on the indemnified party without its consent. Recovery is reduced to the extent the claimant's own fault caused the loss; there is no double recovery.

13 Changes to terms and plans

ReelMart will give at least thirty days' advance written notice to Seller's registered email and through an available dashboard notice before a subscription increase or material adverse change to this agreement, a paid plan or an incorporated schedule. Notice must state the old and new commercial terms, effective date, practical effect and cancellation route. Subscription increases apply no earlier than the first renewal after that notice period. A fixed paid period and expressly promised introductory price/duration remain protected.

Seller may reject the change by cancelling the affected renewal or service before it takes effect, without an exit penalty. If an unavoidable material reduction must affect a prepaid period, Seller may terminate the affected service and receive a proportionate refund for unused time. A legally required or urgent security change may take effect earlier to the extent necessary; ReelMart will explain it promptly and preserve refunds or exit rights where applicable.

New optional services require an accepted quote/order. Future shipping quotes may change with carrier costs; already accepted bookings can change only for disclosed, evidenced adjustment grounds. Tax changes apply as legally required and must be itemised. Nothing in this section overrides a specific protected seller promise or authorises a payment beyond a valid mandate. Other material amendments require affirmative acceptance where law or their nature requires it.

14 Notices disputes and general terms

Legal and billing notices to ReelMart may be sent to the Grievance Officer contact in the Grievance Policy or the address above. Seller's notice details appear in the Order Form. Each party must keep them current. ReelMart will retain reasonable evidence of notices and use an alternative recorded channel if delivery fails.

Parties will first try to resolve a commercial dispute through authorised representatives within thirty days of written notice. Either may seek urgent relief immediately. Indian law governs. Courts at Bapatla, Andhra Pradesh have jurisdiction to the extent legally competent; statutory consumer, regulatory and other mandatory forums are preserved. This agreement does not impose arbitration or waive statutory remedies.

Neither party is liable for delay caused by events beyond reasonable control if it promptly informs the other and mitigates the effects. This does not excuse accrued payment/refund obligations or mandatory Buyer remedies. If substantial service prevention continues for thirty days, either may end the affected service; unused prepaid subscription fees will be refunded.

Neither party may assign the agreement without the other's written consent, except a lawful business transfer with notice that does not reduce Seller's protected rights or data safeguards. A change from proprietorship to a company must be documented appropriately. Invalid provisions are severed only as necessary; remaining provisions continue. A waiver must be specific and recorded. This agreement and accepted schedules form the agreement on their subject, without extinguishing protected earlier commitments or fraud/misrepresentation claims. Electronic acceptance and counterparts may be used subject to applicable execution and stamp requirements.

15 Seller specific terms and acceptance

The seller-specific Order Form is supplied during contracting or subscription checkout. It records Seller's legal identity and authorised representative, business and notice details, store and domain, selected plan and features, trial and introductory eligibility, regular price, tax, billing period, renewal date, separately authorised payment mandate and any protected founding or fixed-price grant.

It also records the enabled goods-payment and shipping model, any COD arrangement, domain ownership and renewal responsibility, document versions and agreed variations. Platform collection or COD requires a completed payment annex identifying the collecting party, settlement timetable, permitted deductions, refund responsibilities and reconciliation process. These private details are not published on this page.

This agreement applies when accepted by Seller and ReelMart through a recorded contracting process. Merely viewing this page does not execute a seller contract or authorise a recurring payment. Existing agreements and protected entitlements are changed only through their applicable notice and acceptance procedures. Seller receives a copy of the accepted terms and Order Form.
